These Terms of Service (“Terms”, “Agreement”) govern your use of any websites, applications, products, and services operated by VendRock OÜ (“VendRock”, “we”, “our”, “us”). By accessing or using our services, you (“User”, “Customer”, “you”, “your”) agree to comply with and be legally bound by these Terms. If you do not agree, you must not use our services.
This Agreement applies globally and is intended to comply with applicable consumer protection, e-commerce, and digital service regulations in the European Union (EU), United Kingdom (UK), United States (US), Canada, Brazil, Australia, Singapore, South Africa, and other jurisdictions where VendRock operates.

2. ELIGIBILITY
• You must be at least 18 years old or the legal age of majority in your jurisdiction to use our services.
• If you are under 18, you may only use our services with the consent of a parent or guardian.
• By using our services, you represent that you have the legal capacity to enter into this Agreement.
3. SERVICES PROVIDED
VendRock OÜ provides e-commerce, digital platforms, and related services, which may include:
• Sale of goods and digital products.
• Hosting of online platforms and marketplaces.
• Marketing, logistics, and payment services.
• Other business and technology solutions.
4. USER ACCOUNTS
• Users may be required to create an account. You are responsible for maintaining the confidentiality of your login details and for all activities under your account.
• You must provide accurate and up-to-date information.
• VendRock reserves the right to suspend or terminate accounts if fraudulent, abusive, or illegal activity is suspected.
5. ORDERS, PAYMENTS & DELIVERY
• All orders placed through our websites or platforms are subject to acceptance and availability.
• Prices are displayed in the applicable currency and may include or exclude VAT, sales tax, or customs duties depending on your jurisdiction.
• Payments must be made using approved payment methods. VendRock does not store full credit card details; payments are processed via secure third-party providers.
• Delivery times are estimates and may vary depending on logistics providers and country of destination.
6. RETURNS, REFUNDS & CANCELLATIONS
• Customers may have statutory rights to cancel or return orders under applicable consumer protection laws (e.g., EU Consumer Rights Directive, UK Consumer Contracts Regulations, US FTC rules, Australian Consumer Law).
• Unless otherwise required by law, refunds will only be provided in accordance with our Refund Policy.
• Digital goods or customized items may not be eligible for return unless defective.
7. USER OBLIGATIONS
By using our services, you agree to:
• Not use our services for unlawful, fraudulent, or harmful purposes.
• Not upload or transmit malicious code, spam, or offensive content.
• Respect intellectual property rights.
• Comply with all applicable laws and regulations in your jurisdiction.

• VendRock OÜ is not responsible for third-party content, policies, or practices. Use of third-party services is at your own risk.
10. DATA PROTECTION & PRIVACY
• Our processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms.
• By using our services, you acknowledge and agree to such processing.
11. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by law:
• Our services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
• We disclaim any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
• We do not guarantee that services will be error-free, secure, or continuously available.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
• VendRock OÜ shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
• Our total liability in respect of any claim shall not exceed the greater of:
(i) the amount paid by you for the relevant service or product, or
(ii) €100 (one hundred euros).
13. INDEMNIFICATION
You agree to indemnify and hold harmless VendRock OÜ, its affiliates, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your violation of these Terms or misuse of our services.
14. GLOBAL COMPLIANCE
This Agreement is designed to comply with:
• EU eCommerce Directive, Consumer Rights Directive, and GDPR.
• UK Consumer Protection Laws and UK GDPR.
• US Federal Trade Commission (FTC) regulations, CCPA/CPRA (California).
• Canada’s Consumer Protection and PIPEDA.
• Brazil’s Consumer Defense Code and LGPD.
• Australia’s Consumer Law.
• Singapore PDPA.
• South Africa POPIA.
• Other applicable international laws.
Local mandatory consumer rights remain unaffected.
15. EXPORT & SANCTIONS COMPLIANCE
Users agree not to use VendRock services in violation of international export control and sanctions laws, including restrictions by the EU, US (OFAC), and United Nations.
16. TERMINATION
VendRock may suspend or terminate your access to services at any time without prior notice if you violate these Terms or applicable law.
17. DISPUTE RESOLUTION
• Governing Law: These Terms shall be governed by the laws of the Republic of Estonia.
• Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia.
• Alternative Dispute Resolution (ADR): Where required by law (e.g., EU ODR Platform), users may have the right to resolve disputes through mediation or arbitration.
• Class Action Waiver: To the extent permitted by law, you agree to waive participation in class action lawsuits against VendRock OÜ.
18. FORCE MAJEURE
VendRock OÜ shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, cyberattacks, labor disputes, pandemics, or government restrictions.
19. SEVERABILITY
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain valid and enforceable.
20. CHANGES TO TERMS
We reserve the right to update or modify these Terms at any time. Updates will be posted with a revised “Last Updated” date. Continued use of services constitutes acceptance of changes.
